This page is the DedupX Software License Agreement. It is also the Terms of Service for DedupX. DedupX is proprietary commercial software (not open source), licensed by Maheep Kumar, an individual resident of India.

Important: Read carefully before installing or using DedupX. By installing, copying, or otherwise using the Software, you agree to be bound by these terms. If you do not agree, do not install or use the Software.

1. Grant of license

Subject to these terms, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

1. Install and use the Software on devices you own or control
2. Use the Software for personal or commercial purposes
3. Make backup copies for archival purposes only

Device limits depend on license type:

• Free Trial: 1 device, limited to 10 scans and 7 days
• Annual License: As specified in your purchase
• Lifetime License: As specified in your purchase

2. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, translate, or create derivative works
• Distribute, sell, rent, lease, or sublicense the Software
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Software to violate any laws or regulations
• Share your license key with others
• Circumvent or attempt to circumvent license validation
• Use the Software for illegal file sharing or copyright infringement

3. Intellectual property

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

4. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranty of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, or non-infringement.

Licensor does not warrant that:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from use will be accurate or reliable
• Any errors will be corrected
• The Software will not damage or lose your files

You assume all risk for use of the Software, except where such assumption of risk is prohibited by applicable law.

Nothing in this Agreement excludes or limits any rights or remedies that cannot be excluded or limited under applicable law, including mandatory consumer protections available to consumers in India under the Consumer Protection Act, 2019 (as amended) and other applicable Indian laws.

5. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Licensor be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of data, loss of profits, business interruption, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

Subject to the same limit, Licensor’s total liability to you for all claims arising out of or related to this Agreement or the Software shall not exceed the amount you paid Licensor for the Software license giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. Where that is the case, the above limitations apply only to the extent permitted by law.

6. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Licensor from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the Software
• Your violation of this Agreement
• Your violation of any third-party rights
• Any data loss or file corruption caused by your use of the Software

7. Data backup

You are solely responsible for backing up your data. The Software provides a delete feature for duplicate files (including moving items to Trash or, for Photos Library items, Recently Deleted). Licensor is not responsible for any data loss resulting from use of this feature, whether accidental or intentional.

Always review files before deletion. Use at your own risk.

8. Termination

This Agreement is effective until terminated.

Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term. Upon termination you must cease all use of the Software, delete all copies and license keys, and your license will be deactivated.

Sections 4, 5, 6, 7, 9, and 12 survive termination.

9. Refund policy

We offer a free trial (10 scans, 7 days) so you can evaluate the Software before purchasing.

Except where a refund is required by applicable law (including mandatory consumer protections for consumers in India), all sales are final.

10. Updates and support

Licensor may, but is not obligated to, provide updates or support.

• Annual License: Updates provided for 1 year from purchase
• Lifetime License: Updates provided indefinitely (subject to Licensor’s discretion)

Updates may be discontinued at any time. No refund will be provided solely because updates are discontinued, except where required by applicable law.

11. Compliance with law

You are responsible for complying with the laws of India and of any other jurisdiction that apply to your download, possession, or use of the Software.

12. Governing law and disputes

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Subject to any non-waivable rights you may have as a consumer, courts at Chandigarh, India shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement.

13. Entire agreement

This Agreement constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings.

14. Severability

If any provision of this Agreement is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions shall remain in full effect.

15. No waiver

Failure to enforce any provision of this Agreement shall not constitute a waiver of that or any other provision.

16. Assignment

You may not assign or transfer this Agreement or your license without prior written consent from Licensor. Licensor may assign this Agreement in connection with a sale, merger, or reorganization.

By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
